User Agreement

This User Agreement ("Agreement") is a legal contract between you and Tanuki Technologies Ltd ("Tanuki", "we", "us"). It governs your use of the Tanuki platform, website, API, and any related services (together, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by this Agreement and our Privacy Policy. If you don't agree, please don't use the Service.

1. Service Description

Tanuki is a browser-based engineering and simulation platform that combines AI-assisted geometry creation, computational analysis, and post-processing tools (the "Service").

We may change, update, or discontinue features of the Service at any time. We will try to give reasonable notice of significant changes, but this is not always possible, especially for security or legal reasons.

2. Eligibility and Accounts

You must be at least 16 years old to use the Service. If you are acting on behalf of an organisation, you confirm that you have the authority to accept this Agreement on their behalf.

You are responsible for keeping your login credentials secure. You agree to notify us promptly via our contact form if you believe your account has been compromised.

We may suspend or terminate accounts that violate this Agreement or that we reasonably believe pose a risk to the security or integrity of the Service.

3. User Content and Data

"User Content" means any data, text, files, code, models, simulation setups, parameters, images, or other material that you upload to or create within the Service (Inputs), as well as any material the Service generates in response (Outputs).

3.1 Ownership

As between you and Tanuki, you retain all rights you already have in your Inputs. You are not required to share any User Content with us to use the Service.

3.2 Licence you give us

By submitting Inputs or using the Service, you grant Tanuki a worldwide, non-exclusive, royalty-free, sublicensable, transferable licence to use, copy, store, modify, create derivative works from, display, and process your User Content (including Inputs and Outputs) for the following purposes:

  • Operating, maintaining, and providing the Service to you;
  • Training, fine-tuning, evaluating, and improving our models, algorithms, and services (including future products);
  • Generating and delivering Outputs;
  • Research and development, including benchmarking and safety testing;
  • Enforcing this Agreement and protecting the Service.

This licence survives termination of your account to the extent necessary for the purposes above (for example, where User Content has already been incorporated into model training datasets or aggregated data).

3.3 Outputs

Subject to your compliance with this Agreement, Tanuki assigns to you all rights it holds in the Outputs generated for you, to the extent such rights exist under applicable law. Outputs are provided on an "as-is" basis.

Because of the nature of AI and machine learning, Outputs may not be unique. Other users may receive similar or identical Outputs. We do not guarantee that Outputs will be accurate, complete, or fit for any particular purpose.

3.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, irrevocable, royalty-free licence to use that feedback without any obligation to you.

3.5 Your responsibility

You are responsible for your User Content and for making sure that it does not violate any law or third-party rights. You represent that you have all the rights necessary to upload your Inputs and to grant the licences described above.

3.6 Deletion and retention

You may delete your User Content at any time through the Service.

However, please note that even after deletion, copies of User Content that have already been used for model training, incorporated into derived datasets, cached in backups, or retained for legal or compliance reasons may not be immediately or fully removed from all systems. We will handle any retained data in line with our Privacy Policy.

4. Licence to Use the Service and Acceptable Use

4.1 Our licence to you

Subject to this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal purposes (personal, academic, or business use), during the term of your subscription or account.

4.2 Restrictions

You agree not to:

  • Reverse engineer, decompile, or attempt to extract the source code or underlying models of the Service;
  • Use automated tools (bots, scrapers, etc.) to access the Service in a way that exceeds normal use or circumvents rate limits;
  • Resell, sublicense, or commercially redistribute access to the Service unless we have agreed otherwise in writing;
  • Remove or alter any copyright, trademark, or other proprietary notices in the Service;
  • Use the Service to develop a competing product or to benchmark the Service for publication without our prior written consent.

4.3 Acceptable use

You must not use the Service to:

  • Upload or generate Content that is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable;
  • Violate any applicable law, regulation, or third-party right;
  • Transmit malware, viruses, or any code designed to damage or interfere with the Service;
  • Interfere with the security, integrity, or availability of the Service;
  • Attempt to gain unauthorised access to any account, system, or network associated with Tanuki.

4.4 Enforcement

We may (but are not obliged to) monitor use of the Service. If we believe you have violated this section, we may remove content, limit features, suspend or terminate your account, or take other reasonable steps, with or without notice.

5. Fees and Payment

Parts of the Service may require a paid subscription. Fees, billing cycles, and plan details will be presented to you before purchase.

  • Billing: You authorise us (or our payment processor) to charge the payment method you provide on a recurring basis according to your plan.
  • Price changes: We may change our fees. We will give you at least 30 days' notice before any price increase takes effect for your next billing cycle.
  • Refunds: Unless required by law, fees are non-refundable. If you cancel a subscription, you will continue to have access until the end of your current billing period.
  • Taxes: Fees are stated exclusive of taxes unless noted otherwise. You are responsible for any applicable taxes.

6. Third-Party Services

The Service may integrate with or link to third-party tools, APIs, or services. These are subject to their own terms and privacy policies. We are not responsible or liable for any third-party services.

7. Intellectual Property

7.1 Our IP

The Service (including its software, models, algorithms, user interface, documentation, branding, and all related intellectual property) is owned by Tanuki or its licensors. Nothing in this Agreement transfers ownership of any of that to you, except for the limited licence granted above.

7.2 Your IP

We do not claim ownership of your Inputs. The licence you grant us under Section 3.2 does not transfer ownership. It does, however, give us broad usage rights (including for model training).

7.3 Trademarks

"Tanuki", our logos, and related marks are our trademarks. You may not use them without prior written permission.

7.4 DMCA / takedown requests

If you believe your copyright has been infringed, please contact us with the details required by applicable law. We will respond to valid notices in accordance with applicable copyright law.

8. Service Levels and Availability

We try to keep the Service available and performant, but we do not guarantee specific uptime, response times, or availability unless we have signed a separate service-level agreement (SLA) with you.

We may carry out scheduled or emergency maintenance at any time. Where possible, we will give advance notice.

9. AI-Specific Disclaimers

AI-generated Outputs may be:

  • Inaccurate, incomplete, or misleading;
  • Similar or identical to outputs given to other users;
  • Unsuitable for safety-critical, legal, medical, or financial decisions without independent review.

You are solely responsible for reviewing and validating any Outputs before relying on them. Use of Outputs in safety-critical applications is entirely at your own risk.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, TANUKI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components; that Outputs will be accurate, complete, or suitable for any particular purpose; or that defects will be corrected.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TANUKI WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, PROFITS, GOODWILL, OR BUSINESS OPPORTUNITY ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) £100.

Nothing in this Agreement excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited or excluded by law.

12. Indemnity

You agree to indemnify and hold harmless Tanuki, its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of:

  • Your use of the Service;
  • Your User Content (including any claim that your Inputs infringe third-party rights);
  • Your breach of this Agreement;
  • Your violation of any law or regulation.

13. Term and Termination

This Agreement starts when you first access or use the Service and continues until terminated.

  • You can stop using the Service at any time. You can delete your account through the settings page or by contacting us.
  • We may suspend or terminate your access at any time, for any reason (including breach of this Agreement), with or without notice.

On termination:

  • Your right to use the Service ends immediately;
  • We may (but are not obliged to) delete your User Content after a reasonable period;
  • Sections that by their nature should survive (including Sections 3.2, 7, 10, 11, 12, and 14) will continue to apply.

14. Governing Law and Disputes

This Agreement is governed by the laws of England and Wales. Any disputes arising out of or in connection with this Agreement will be subject to the exclusive jurisdiction of the courts of England and Wales.

Nothing in this clause limits your right to bring proceedings in any other court of competent jurisdiction if mandatory law gives you that right.

15. General Provisions

  • Entire agreement: This Agreement (together with our Privacy Policy and any other policies we reference) is the entire agreement between you and Tanuki about the Service, and supersedes any previous agreements.
  • Amendments: We may update this Agreement from time to time. We will let you know about material changes (for example by email or in-app notice). If you keep using the Service after changes take effect, you agree to the updated terms.
  • No waiver: If we don't enforce a right under this Agreement, that doesn't mean we waive it.
  • Severability: If any part of this Agreement is found to be unenforceable, the rest remains in effect.
  • Assignment: You may not assign this Agreement without our consent. We may assign it freely (for example, in a merger or acquisition).
  • No third-party beneficiaries: This Agreement does not give rights to anyone other than you and Tanuki.
